Art Purchase Agreement

This agreement is an online transaction agreement between you (hereinafter referred to as the "buyer") and our company (hereinafter referred to as the "seller"). Please read the following terms and conditions carefully before confirming the purchase and making the payment.

1. Description and Authenticity of Artwork

Uniqueness and Description of Artwork

The artworks sold by the seller are unique and one-of-a-kind works in the field of Chinese painting and calligraphy, and each artwork has been carefully screened and evaluated.

Due to the handmade nature of the artworks and the differences in individual display settings, the actual artworks may have minor differences from the photos and descriptions provided on the website, such as color, texture, and size. The seller will make every effort to ensure the accuracy of the website information, but the buyer should understand and accept these possible differences.

Condition of Artworks

Due to the unique and singular nature of original artworks, the seller's description of each piece's information and condition may not be exhaustive. Buyers should understand this limitation. If you wish to obtain more information before purchasing, you may directly contact the seller for further consultation.

Artwork Scene Images

Most artwork images include a scene effect picture. This effect picture is a virtual image and may differ from the actual framing, size, and display effect of the artwork; therefore, it is provided for reference purposes only.

Framing of Artworks

Before placing an order, the buyer may communicate with the seller to discuss and confirm the preferred framing form. If the buyer does not specify a framing preference prior to ordering, the seller reserves the right to determine the framing at its discretion. Framing forms may include, for example, hanging scrolls, framed presentation (e.g., frame with glazing or mat), or other appropriate mounting methods suitable for the specific artwork.

Changes to the framing selection may incur additional fees and may extend the lead time. Once a framing change is confirmed and framing work has commenced or the change has been effected at the buyer's request, the related charges are non-refundable.

Authenticity and Origin of Artworks

The artworks offered are sourced directly through the seller's cooperation with artists and collectors. While the seller exercises commercially reasonable diligence, the seller makes no warranties—express or implied— regarding authenticity, attribution, provenance, authorship, date, or artistic/market value. Any statements of description or opinion on the website are good‑faith opinions and do not constitute guarantees.

2. Order Confirmation and Payment

Order Confirmation

Your submission of an order constitutes an offer to purchase. The seller may accept or reject any order in its sole discretion. No contract is formed and no right, title, or interest in any artwork transfers until the seller expressly accepts your order (for example, via a written order acceptance notice) and proceeds to fulfill it. The seller reserves the right at any time prior to shipment or title transfer to refuse, cancel, limit quantities, or rescind an order for any reason, including but not limited to availability constraints, suspected fraud or abuse, pricing or listing errors, regulatory/compliance concerns, or operational considerations.

If the seller cancels an order after payment has been received, the seller will refund the amount paid for the affected order or item. To the maximum extent permitted by law, such refund shall be the buyer's sole and exclusive remedy with respect to that cancellation.

Title and Risk of Loss

Title to any artwork does not pass to the buyer until (a) the seller has received cleared funds in full and (b) the seller has tendered the artwork for shipment and expressly notified the buyer that title has transferred. Unless otherwise agreed in a signed writing, risk of loss passes to the buyer upon the seller's delivery of the artwork to the carrier.

Errors, Availability, and Changes

Information on the website may contain typographical errors, inaccuracies, or omissions, including with respect to pricing, availability, and descriptions. The seller reserves the right to correct any such errors or omissions, to change or update information, and to withdraw or discontinue any artwork at any time prior to transfer of title, without prior notice. In rare cases, an artwork may already have been sold by the artist before the information is updated. The seller will contact the buyer to coordinate a refund or other appropriate handling consistent with this Agreement.

Payment Authorization

By providing a payment method, the buyer represents and warrants that they are authorized to use that method and authorizes the seller (and its payment processors) to charge the full amount of the order, including any applicable taxes and fees. If payment is declined, reversed, or deemed suspicious, the seller may cancel the order at its discretion.

3. Shipping and Returns

Shipping Policy

Our artworks are ultimately shipped from the United States. Due to the unique nature and varied requirements of shipping fine art, we carefully select the most appropriate shipping method for each piece. All shipping costs are included in the purchase price, whether we utilize standard carriers or specialized art shipping services. We partner with professional art handlers and shipping companies to ensure your artwork arrives safely.

Processing and shipping times vary depending on the specific artwork's characteristics and current location. Our team will reach out to you directly after purchase to provide detailed information regarding shipping arrangements and estimated delivery timeframes. Once your artwork has been shipped, we will provide tracking information to help you monitor its journey.

For some artworks, the physical piece may remain with the artist until fulfillment. In such cases, the lead time may be longer than usual. The seller will communicate expected timelines and milestones with the buyer after order confirmation.

Inspection on Delivery

The buyer must inspect the artwork upon delivery and notify the seller in writing of any material damage or nonconformity within 48 hours of receipt. Failure to provide timely notice constitutes acceptance. The buyer shall retain all packaging materials for inspection. The seller may, at its sole discretion, repair, replace, or refund the purchase price as the buyer's exclusive remedy.

Return Policy

Given the unique and investment-oriented nature of artworks, all sales are final and, in principle, non-refundable. Buyers are strongly encouraged to conduct due diligence before purchase. Prior to placing an order, you may request additional photos and video materials of the artwork from the seller. If you have any questions or concerns, please contact us before completing your purchase. Any limited remedies (for example, for confirmed transit damage or nonconformity reported within the inspection window) are addressed elsewhere in this Agreement and constitute the buyer's exclusive remedies.

Force Majeure and Delays

The seller is not liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, carrier delays, governmental actions, epidemics, or supply chain disruptions.

4. Price Excludes Taxes

When purchasing an artwork, please note that the displayed price does not include any taxes. For buyers within the United States, as well as for certain international buyers where applicable sales tax collection regulations apply, we will calculate and collect the applicable sales tax at checkout based on your shipping address. For buyers outside the United States, your order may also be subject to value-added tax (VAT), customs duties, or other import taxes. These charges are your responsibility and will be collected by local customs or tax authorities upon delivery. We recommend that you check the relevant tax policies in your country prior to purchase to understand any additional costs that may apply.

5. Art Preservation and Disclaimer

The artwork should be kept away from direct sunlight, high temperatures, humid environments, and physical impacts. The seller can provide maintenance recommendations to the buyer, but will not be responsible for any damage caused by improper maintenance.

Compliance and Export

The buyer is responsible for complying with all applicable import/export laws and regulations, and obtaining any required permits or clearances. The seller may refuse or cancel an order where fulfillment would violate applicable law or trade sanctions.

Intellectual Property

Purchase of an artwork transfers ownership of the physical object only. No intellectual property rights, copyrights, or reproduction rights are transferred unless expressly agreed in a separate signed writing.

Limitation of Liability

To the maximum extent permitted by law, the seller's total liability for any claim arising out of or related to any artwork or this agreement is limited to the amount actually paid by the buyer for the artwork at issue. In no event shall the seller be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

6. Revisions and Changes

We reserve the right to amend the terms of this Agreement at any time. If there are any changes to this Agreement, we will post the revised Agreement on our website and update the "Last Updated" date at the top of the page. You should review this Agreement periodically to be aware of any changes. By continuing to use our website after any updates or modifications to this Agreement, you agree to abide by and be bound by the revised terms.

7. Applicable Law and Dispute Resolution

This agreement is subject to the laws of Texas, USA.

Dispute Resolution

Any disputes arising from this agreement should first be resolved through friendly negotiations between the parties. If the negotiations are unsuccessful, either party has the right to submit the dispute to the court with jurisdiction for litigation.
